Available features may change as the platform develops.
Unless expressly stated otherwise, Oodlay acts as a platform connecting users, buyers, sellers, employers, educators, and businesses. Users are responsible for their own content, representations, products, services, and dealings with other users.
4. User Conduct and Community Guidelines
You agree to use Oodlay lawfully and respectfully. You must not:

- Interfere with the normal operation, availability, or security of the website.
We may remove content, restrict features, suspend accounts, or take other appropriate action when we reasonably believe these Terms have been violated, subject to applicable law.
5. User-Generated Content and Intellectual Property
You retain ownership of content you create and submit, subject to any rights you have granted to others.
By uploading or publishing content on Oodlay, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and technically adapt that content as reasonably necessary to operate, maintain, secure, and promote the platform and provide the features you use. This license lasts for as long as reasonably necessary for those purposes, subject to your rights, our Privacy Policy, and applicable law.
You represent that:
- You own the content or have permission to use and publish it.
- Your content does not violate applicable law or another person’s rights.
- Your product images, advertisements, educational materials, and business information are not knowingly false or misleading.
You must not copy, resell, redistribute, or commercially exploit Oodlay’s branding, website design, software, or proprietary materials without authorization.
Public content may be viewed, copied, or shared by other users. Removing content from Oodlay may not remove copies already shared or independently stored by others.
6. Jobs and Recruitment
Oodlay may allow employers, recruiters, agencies, and other users to publish job opportunities and recruitment-related information.
Employers and recruiters are responsible for the accuracy, legality, and completeness of their listings, including job descriptions, eligibility requirements, compensation, location, and application procedures.
Job seekers should independently verify the identity and credibility of employers before providing sensitive documents, paying fees, or accepting an offer.
Oodlay does not guarantee the authenticity of every job listing, the conduct of every recruiter, or that a user will obtain employment. We are not responsible for hiring decisions made by employers or applicants.
Users must not publish fraudulent jobs, misleading salary claims, fake recruitment notices, or unlawful recruitment fees.
7. Education and Learning Content
Users may share educational posts, courses, study materials, exam information, training opportunities, and other learning resources.
Content providers are responsible for the accuracy, legality, ownership, and quality of the material they publish.
Unless expressly stated otherwise, educational information is provided for general informational purposes. Oodlay does not guarantee examination results, admission, certification, employment, or other educational outcomes.
Users must not upload pirated books, unauthorized course materials, leaked examination papers, or other content that infringes intellectual property rights or violates applicable law.
8. Business Promotion and Advertising
Oodlay may allow users to promote businesses, services, offers, events, products, and professional activities.
All advertising and promotional content must be truthful, lawful, and compliant with applicable regulations. Advertisers are responsible for their claims, pricing, offers, permissions, and any licenses required for their activities.
You must not publish fake testimonials, deceptive discounts, guaranteed-income claims without adequate basis, fraudulent investment offers, or misleading product descriptions.
Oodlay may remove advertisements that violate these Terms or applicable law. Paid promotional services, if offered, may be subject to separate pricing, advertising rules, and service conditions.
9. Multivendor Marketplace
Oodlay may operate a multivendor marketplace where approved sellers can create listings and offer products or services to buyers.
A. Seller Responsibilities
Sellers agree to:
- Provide accurate product names, descriptions, images, specifications, and prices.
- List only goods and services they are legally authorized to sell.
- Disclose relevant delivery charges, taxes, warranties, and other applicable conditions.
- Maintain accurate stock and availability information.
- Fulfil accepted orders in accordance with the advertised terms.
- Communicate honestly with customers and respond to order-related queries.
- Comply with applicable consumer-protection, product-safety, taxation, packaging, labeling, and e-commerce requirements.
- Issue invoices and maintain records where legally required.
- Honor applicable cancellation, return, refund, and warranty obligations.
- Avoid counterfeit, stolen, restricted, prohibited, or unlawfully marketed products.
Sellers are responsible for the legality, quality, authenticity, safety, and delivery of their products and services, subject to applicable law.
B. Buyer Responsibilities
Buyers agree to:
- Provide accurate contact and delivery information.
- Review product descriptions, prices, shipping conditions, and seller policies before ordering.
- Make payments through authorized payment methods.
- Communicate respectfully with sellers.
- Do not misuse payment disputes, return procedures, or promotional offers.
Buyers should review a seller’s available information and ask questions before purchasing if product details are unclear.
C. Seller Approval and Listings
Oodlay may review seller applications and listings, request additional information, impose reasonable listing requirements, or remove listings that violate these Terms or applicable law.
A listing appearing on Oodlay does not necessarily mean that Oodlay has independently verified the seller, product, or every claim in the listing.
D. Prohibited Products and Services
Sellers must not list products or services that are illegal, counterfeit, stolen, unsafe, or prohibited by applicable law or Oodlay’s published policies.
Prohibited listings may include illegal drugs, unauthorized weapons, counterfeit goods, stolen property, fraudulent financial products, and other restricted items. Oodlay may publish additional category-specific restrictions.
E. Orders and Fulfilment
The order confirmation process, payment collection, shipping arrangements, and order acceptance may depend on the marketplace configuration and the seller’s terms.
Unless expressly stated otherwise, sellers are responsible for fulfilling their accepted orders and providing accurate order updates. Oodlay may assist with communication or dispute handling but does not guarantee successful fulfilment by an independent seller.
10. Payments, Fees, Commissions, and Payouts
Oodlay may introduce seller registration fees, listing charges, commissions, subscription plans, advertising fees, or other charges. Any applicable charges will be disclosed through the relevant service, checkout page, or seller agreement.
Where marketplace payments and payouts are enabled:
- Buyers must use the payment methods made available at checkout.
- Sellers must provide accurate payout and verification information where required.
- Applicable transaction fees, commissions, taxes, and other charges may be deducted as disclosed.
- Payouts may be subject to payment-provider processing times, verification, fraud checks, chargebacks, refunds, and legal requirements.
- Oodlay may delay or restrict a payout where reasonably necessary to investigate suspected fraud, comply with law, or resolve a transaction issue.
We will not require users to disclose their banking passwords, card CVV codes, or one-time passwords through ordinary messages.
Specific payment, commission, settlement, and payout conditions may be described in a separate Seller Policy or payment terms. Those terms will apply where relevant and legally enforceable.
11. Earnings and Income Disclaimer
Oodlay offers opportunities for users to promote businesses, list products, connect with potential customers, and pursue income-generating activities.
Oodlay does not guarantee that users will earn money, generate sales, obtain customers, or achieve any particular level of profit or business growth.
Actual results depend on factors such as product demand, pricing, competition, quality, marketing, customer service, seller compliance, and market conditions.
Users are responsible for their own business decisions, expenses, taxes, licenses, and financial obligations. No content on Oodlay should be interpreted as a promise of guaranteed income or investment returns.
12. Orders, Cancellations, Returns, and Refunds
Order cancellation, return, replacement, refund, and warranty rights will depend on applicable law, the nature of the product or service, the seller’s disclosed policy, and the payment method used.
Sellers must comply with all mandatory consumer rights and refund obligations applicable to their transactions.
Where Oodlay directly sells products or collects payments as the seller or merchant of record, the applicable terms for those transactions will be disclosed separately.
If Oodlay provides marketplace support or a dispute-resolution process, users may be asked to provide relevant order details and evidence. Any such process does not remove statutory rights available to buyers or sellers.
13. Marketplace Disputes and Fraud Prevention
Buyers and sellers should attempt to resolve transaction issues in good faith and retain relevant order confirmations, receipts, delivery records, and communications.
Oodlay may review reports of suspected scams, fake listings, non-delivery, counterfeit goods, or other marketplace misconduct. We may request supporting information, restrict listings, suspend accounts, or take other reasonable measures.
Unless expressly stated in a separate agreement or required by law, Oodlay is not a party to contracts formed directly between independent buyers and sellers and does not guarantee the performance of either party.
Nothing in these Terms excludes liability or obligations that cannot lawfully be excluded.
14. Third-Party Services and External Links
Oodlay may link to or integrate with third-party websites, payment gateways, shipping services, social networks, analytics tools, or other external providers.
Those services may be governed by their own terms and privacy policies. Oodlay does not control all third-party systems and is not responsible for their independent practices, subject to any obligations imposed on us by applicable law.
You should review third-party terms before using their services or sharing information with them.
15. Privacy and Personal Information
Your use of Oodlay is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.
Users must not misuse other members’ personal information or use information obtained through Oodlay for spam, harassment, unauthorized marketing, fraud, or unlawful purposes.
Public profiles, posts, business advertisements, and product listings may be visible to other users or the public depending on the relevant settings and features.
16. Website Availability and Changes
We aim to maintain a reliable platform, but we do not guarantee that Oodlay will always be available, uninterrupted, error-free, or compatible with every device or browser.
We may update, modify, suspend, or discontinue features for maintenance, security, legal compliance, or business reasons, subject to applicable law and any specific contractual commitments.
We may also update these Terms. Revised Terms will be published on this page with an updated effective date. Where required by law, we will provide notice or obtain consent for material changes.
Your continued use of Oodlay after revised Terms take effect will be subject to applicable legal requirements concerning notice and acceptance.
17. Suspension and Termination
You may stop using Oodlay at any time and may request account deletion through the available account settings or by contacting us.
We may restrict, suspend, or terminate an account or remove content where reasonably necessary because of:
- A violation of these Terms or applicable law.
- Fraud, impersonation, abuse, or harmful conduct.
- Repeated complaints or serious marketplace misconduct.
- Security risks or attempts to compromise the platform.
- A legal requirement or valid request from an authorized authority.
Where appropriate and legally permissible, we may provide notice and an opportunity to address the issue.
Termination does not eliminate obligations relating to outstanding orders, payments, refunds, taxes, intellectual property, or other matters that by their nature continue after termination.
18. Disclaimer of Warranties
To the extent permitted by applicable law, Oodlay is provided on an “as available” basis. We do not guarantee that every user, listing, job opportunity, educational resource, advertisement, product, or business offer is accurate, authentic, safe, or suitable for your needs.
Users should independently verify important claims before relying on them, making purchases, sharing sensitive information, or entering into business arrangements.
Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Oodlay will not be responsible for indirect, incidental, special, or consequential losses arising from use of the platform, including lost profits, lost business opportunities, or loss of data, where such exclusion is legally permitted.
Subject to applicable law, Oodlay is not responsible for the independent acts or omissions of users, employers, recruiters, educators, buyers, sellers, payment providers, or other third parties.
This section does not exclude or limit liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited. Any limitation will apply only to the extent permitted by applicable law.
20. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, and reasonable costs arising directly from your unlawful conduct, material breach of these Terms, infringement of another person’s rights, or violation of applicable law.
This provision does not require you to indemnify Oodlay for losses caused by Oodlay’s own unlawful conduct or for liabilities that cannot lawfully be shifted to you.
21. Intellectual Property Complaints
If you believe content on Oodlay infringes your copyright, trademark, or other legal rights, you may contact us with:
- Your name and contact details.
- Identification of the content or listing in question.
- Information explaining the right you believe has been infringed.
- The location or URL of the material.
- Any supporting evidence and the action you request.
We may investigate valid complaints and remove or restrict content where appropriate or legally required. We may request additional information to verify a complaint.
22. Governing Law and Dispute Resolution
These Terms will be governed by the laws of India, subject to applicable mandatory legal protections and consumer rights.
Users should first contact Oodlay to attempt to resolve a complaint informally. Nothing in this section prevents a user from exercising statutory rights, approaching a competent consumer commission, or using another legal remedy available under applicable law.
Any court proceedings will be brought before courts of competent jurisdiction in India, subject to applicable law and jurisdictional requirements.
23. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.
24. Entire Agreement
These Terms, together with the Privacy Policy and any applicable seller, payment, return, refund, or other service-specific policies, govern your use of Oodlay to the extent applicable.
If a separate written agreement expressly applies to a particular service and conflicts with these Terms, the specific agreement will govern that service to the extent of the conflict and as permitted by law.
